Worth.it Business Partner Agreement

This Business Partner Agreement ("Agreement") supplements the Worth.it Terms of Service and governs the relationship between [LEGAL ENTITY NAME] — TODO ("Worth.it") and any business that creates a Business Account to list products for promotion ("Business," "you," or "Partner").
1. Listing Products
1.1 You may list products on the Platform for Promoters to apply to promote. For each listed product, you must specify: the product name and description, the destination URL, the commission rate or amount, and any conditions on eligible promotion (e.g., restrictions on claims that may be made).
1.2 You represent that you have the legal right to sell the listed products and to offer commission on resulting sales, and that all information you provide about a product (price, availability, description) is accurate.
1.3 You may modify or remove a product listing at any time. Removing a listing does not affect commission already owed on sales that occurred prior to removal.
2. Promoter Approval
2.1 You have sole discretion to approve, deny, or later revoke a Promoter's application to promote your products. Worth.it does not vet Promoters on your behalf and makes no representation about any Promoter's audience, reach, or conduct.
2.2 You are responsible for reviewing Promoter profiles/applications to the extent you consider relevant before approving them.
3. Commission and Sale Confirmation
3.1 The definition of a "Qualifying Sale," the applicable commission rate, and the confirmation process are set out in the Commission & Sale Confirmation Addendum, which is incorporated into this Agreement by reference.
3.2 You agree to confirm or dispute reported sales in good faith and within the timeframe specified in the Addendum. Repeated failure to confirm sales in good faith, or a pattern of disputing sales without reasonable basis, may result in suspension of your Business Account.
3.3 Payment Authorization. You authorize Worth.it to charge the payment method you have on file for the total Commission amount included in any payout batch you approve, and to process that amount through Worth.it's third-party payment processor (currently Stripe) on its way to the applicable Promoter(s), as described in the Terms of Service and the Commission & Sale Confirmation Addendum. 4. Use of Promoter Content and Your Brand Assets
4.1 You grant approved Promoters a limited, non-exclusive license to use your provided product images, descriptions, and brand name solely to promote the approved product on their Worth.it page and associated posts, for as long as the approval remains active.
4.2 You retain all ownership of your trademarks, product images, and brand assets. This Agreement does not grant Worth.it or any Promoter any ownership interest in your brand.
4.3 You may request that a specific Promoter stop using your brand assets at any time by revoking their approval.
5. Product Liability and Compliance
5.1 As between you and Worth.it, you are solely responsible for: the safety, quality, and legality of your products; fulfilling orders; handling returns, refunds, and customer service; and compliance with all laws applicable to the sale of your products (including consumer protection and advertising law).
5.2 Worth.it is not a party to the sale transaction between you and any purchaser and assumes no liability for product defects, order fulfillment, or purchaser disputes.
6. Fees

7. Term and Termination
7.1 This Agreement remains in effect while you maintain a Business Account. Either party may terminate by closing the account or as otherwise permitted under the Terms of Service.
7.2 Termination does not relieve either party of commission obligations for Qualifying Sales that occurred prior to termination.
8. Relationship of the Parties
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between Worth.it and the Business, or between the Business and any Promoter.
9. Incorporation of Terms of Service
This Agreement is supplemental to, and incorporates by reference, the Worth.it Terms of Service and Privacy Policy. In the event of a conflict, this Agreement governs solely with respect to the Business's use of the Platform to list and manage products.
